  • Third-party: Means other users of the App other than Clients and Providers.
  • Content: Means any content, writing, images, audiovisual content or other information published on this App.
  • Material: Means any materials, information or documentation that we may provide to you in connection with your use of the services including documentation, data, information developed and other materials which may assist in your use of the App.
  • Terms: Means these terms and conditions of this agreement.
  • Product: All services offered on the Application.
  • Force Majeure: Any event that might hinder the performance of our obligation under these terms and conditions.

Provider Eligibility and Registration

To become a provider on TranqBay, you must meet the following eligibility criteria:

  • Have no prior convictions or sanctions related to professional misconduct.
  • Meet all applicable legal and regulatory requirements in your jurisdiction.
  • Provide evidence of your qualifications, licenses, and any relevant certifications upon request.

The registration process for becoming a provider on TranqBay includes the following steps:

  • Ensuring that your availability and scheduling information is accurate and regularly updated.

  • Regularly logging into the TranqBay platform to manage appointments, update availability, and respond to client inquiries.
  • Promptly reporting any issues or discrepancies in your account information to TranqBay support.
  • Adhering to all TranqBay policies and guidelines to maintain good standing on the platform.

Provider Obligations

Compliance with Laws and Regulations

Providers must comply with all applicable local, state, and federal laws and regulations governing their practice. This includes, but is not limited to, maintaining valid licenses, certifications, and professional liability insurance as required by law. Providers are responsible for staying informed about and adhering to the legal requirements in their jurisdiction.

Professional Conduct and Ethics

Providers are expected to uphold the highest standards of professional conduct and ethics. This includes:

  • Treating all clients with respect, dignity, and compassion.
  • Providing services within the scope of their professional competence.
  • Avoiding any behavior that could be considered unprofessional, discriminatory, or harmful to clients.
  • Maintaining appropriate boundaries with clients at all times.

Confidentiality and Privacy

Providers must ensure the confidentiality and privacy of all client information. This includes:

  • Complying with all applicable privacy laws and regulations, including HIPAA (for US providers) or equivalent data protection laws in other jurisdictions.
  • Using secure methods for storing and transmitting client information.
  • Only sharing client information with authorized individuals and for legitimate purposes, such as treatment, payment, or healthcare operations.

Record Keeping and Documentation

Providers are required to maintain accurate and up-to-date records of all sessions and interactions with clients. This includes:

  • Documenting the date, time, and duration of each session.
  • Recording the client’s presenting issues, treatment plan, and progress notes.
  • Retaining records for the duration required by law or professional guidelines.

Timely and Accurate Communication

Providers must ensure timely and accurate communication with clients and the TranqBay team. This includes:

  • Responding promptly to client inquiries and messages.
  • Keeping clients informed about any changes to scheduled sessions.
  • Notifying the TranqBay team of any issues or concerns that may affect their ability to provide services.

Service Standards and Quality Expectations

Providers are expected to deliver high-quality services that meet the standards set by TranqBay. This includes:

  • Providing services in a professional, competent, and ethical manner.
  • Ensuring that the treatment provided is evidence-based and aligned with best practices.
  • Continuously seeking to improve their skills and knowledge through ongoing professional development.

Use of the Platform

License to Use the Platform

TranqBay grants providers a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for providing therapy services to clients. This license is conditioned on your compliance with these terms and conditions.

Acceptable Use Policy

Providers must use the platform in a manner that is lawful, ethical, and in accordance with these terms and conditions. Acceptable use includes:

  • Providing accurate and truthful information.
  • Using the platform solely for its intended purpose of offering therapy services.
  • Respecting the privacy and confidentiality of clients and other users.

Prohibited Activities

Providers are prohibited from engaging in any activities that:

  • Violate any laws or regulations.

Payment and Fees

Preliminary Agreement

By proceeding with the verification process, providers agree to review and accept the detailed payment and fees section once they have passed verification. This ensures transparency and that providers are fully informed before they start offering services on TranqBay.

Fee Structure

Providers will be informed about the specific fees associated with offering services on TranqBay, including:

  • Service Fees: A percentage or fixed amount deducted from each session fee to cover platform costs.
  • Processing Fees: Any additional fees for payment processing through our payment gateway.
  • Refund Processing: When a client cancels more than 48 hours before a session, the refund will be immediately credited to their wallet balance, and the provider will not receive payment for the cancelled session.
  • Payout Schedule: Details on when and how providers will receive their earnings, including any minimum payout thresholds

Appointment Management

Scheduling Appointments

Providers are responsible for setting their availability and managing their appointment schedules on the TranqBay platform. This includes:

  • Keeping your availability up-to-date to accurately reflect when you are available for sessions.
  • Confirming appointments promptly to ensure clients receive timely notifications.

Cancellation and Rescheduling Policies

Providers must adhere to the cancellation and rescheduling policies outlined in the 'Cancellation, Rescheduling, and Refund Policy for Providers.' This includes:

  • Providing at least 24 hours' notice for cancellations.
  • Understanding that if you cancel a session, the client will receive an immediate full refund to their wallet balance.
  • Managing rescheduling requests promptly and efficiently.

No-Show Policies

Providers are expected to attend all scheduled sessions. Failure to attend without prior notice will result in penalties as outlined in the 'Cancellation, Rescheduling, and Refund Policy for Providers.' Clients will receive an immediate full refund to their wallet balance if the provider does not show up for a session.

Appointment Reminders and Notifications

TranqBay will send automated reminders and notifications to providers and clients to ensure both parties are aware of upcoming appointments. Providers must:

  • Ensure their contact information is accurate to receive these notifications.
  • Respond to notifications promptly to confirm or

Termination and Suspension

Grounds for Termination

TranqBay reserves the right to terminate or suspend a client's account for any of the following reasons:

  • Violation of these terms and conditions.
  • Engaging in prohibited activities or unethical conduct.
  • Repeated complaints or negative feedback from providers.
  • Any actions that harm or potentially harm the reputation or operations of TranqBay.

Voluntary Termination by Provider

Providers may choose to terminate their account at any time by notifying TranqBay in writing. Upon receiving the termination request, TranqBay will deactivate the provider's account and remove their profile from the platform.

Effect of Termination

Upon termination, whether by TranqBay or the provider:

  • The provider's access to the platform will be immediately revoked.
  • Any pending sessions will be canceled, and providers will be notified.
  • Any outstanding payments due to the client will be processed according to the platform's payment schedule.
  • The provider must continue to comply with the confidentiality and data protection obligations outlined in these terms.

Suspension of Services

TranqBay may temporarily suspend a provider's access to the platform if there are concerns about the provider's conduct or compliance with these terms. During the suspension, the provider will not be able to offer services or accept new appointments until the issues are resolved.

Dispute Resolution

Internal Dispute Resolution Mechanism

TranqBay is committed to resolving disputes amicably and efficiently. Providers and clients are encouraged to contact TranqBay support to address any issues or concerns. TranqBay will investigate and mediate disputes to reach a fair resolution.

Mediation and Arbitration

If a dispute cannot be resolved through internal mechanisms, TranqBay may require mediation or arbitration as an alternative to litigation. Both parties must agree to participate in mediation or arbitration, and the process will be conducted in accordance with the rules of a recognized arbitration organization.

Jurisdiction and Governing Law

These terms and conditions are governed by the laws of the jurisdiction in which TranqBay operates. Any legal actions or proceedings related to these terms must be brought in the courts of that jurisdiction.

Providers agree to indemnify and hold harmless TranqBay, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from the client's use of the platform, breach of these terms, or violation of any laws or regulations.

Providers are required to maintain appropriate professional liability insurance coverage as mandated by law or professional guidelines. Proof of insurance must be provided upon request by TranqBay.

Confidentiality and Data Protection

Handling of Client Data

Providers must handle all provider data with the utmost care and confidentiality. This includes:

  • Using secure methods for storing and transmitting provider information.
  • Only accessing provider data necessary for receiving services.
  • Complying with all applicable data protection laws and regulations.

Data Protection Obligations

Providers must take all reasonable measures to protect provider data from unauthorized access, disclosure, or misuse. This includes implementing appropriate technical and organizational security measures.

Confidential Information

Providers must keep all confidential information obtained through the platform secure and not disclose it to any unauthorized parties. Confidential information includes, but is not limited to, client data, business operations, and proprietary information of TranqBay.

Data Breach Notification

In the event of a data breach involving client information, providers must immediately notify TranqBay and take all necessary steps to mitigate the impact of the breach. TranqBay will assist in notifying affected providers and complying with legal obligations related to data breaches.

Amendments and Modifications

Right to Amend Terms and Conditions

TranqBay reserves the right to amend or modify these terms and conditions at any time. Providers will be notified of any changes through the platform or via email.

Notification of Changes

Providers will be given reasonable notice of any significant changes to these terms and conditions. Providers must review and accept the updated terms to continue using the platform.

By continuing to use the platform after any changes to these terms and conditions, providers agree to be bound by the updated terms. If providers do not agree with the changes, they must cease using the platform and notify TranqBay of their intent to terminate their account.

These terms and conditions constitute the entire agreement between TranqBay and the provider regarding the use of the platform and supersede any prior agreements or understandings, whether written or oral.

Sever-ability Clause

If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Force Majeure
